1. Service provider

Deepli is operated by Adrival Realty Consulting BV, F. Mosselmanstraat 18 b 1.1, 8300 Knokke, Belgium. KBO: BE0788.896.644. Contact: caroline@deepli-ai.com.

References in these Terms to "Deepli", "we", "us", or "our" mean Adrival Realty Consulting BV. "You" or "your" means the individual or organization accessing the Service.

2. Acceptance

By accessing or using Deepli, you agree to these Terms. If you are accepting on behalf of an organization, you confirm you have the authority to bind that organization. If you are accepting as an individual, you confirm you are of legal age in your jurisdiction.

3. The Service

Deepli is a technology platform that processes and structures preference and intent data for real estate private clients and licensed brokers. Deepli does not buy, sell, or broker real estate, does not represent buyers or sellers in transactions, and does not hold funds in escrow. The Service does not provide legal, financial, tax, or investment advice. All intelligence outputs are informational only.

4. Account and eligibility

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

5. Acceptable use

You agree not to: use the Service for any unlawful purpose; engage in fraud, spam, or abuse; infringe the intellectual property or privacy rights of others; introduce malware or interfere with the security or integrity of the Service; probe, scan, or test the vulnerability of the platform; scrape, harvest, or systematically extract data; reverse-engineer, decompile, or attempt to derive the source code; or resell or redistribute the Service without our prior written consent.

6. Licence and intellectual property

All content, software, design, architecture, models, and intelligence outputs that constitute the Service are and remain the property of Adrival Realty Consulting BV and its licensors. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service within the scope of your active plan.

7. Artificial intelligence

The Service uses artificial intelligence to interpret, structure, and synthesize information. The following terms apply to all AI-assisted features, including dossier generation, mandate compilation, signal interpretation, and any conversational interfaces.

Prohibited use. You may not use AI features to generate or distribute: illegal content; content that infringes third-party intellectual property; deepfakes or material designed to deceive about a person's identity; hate speech, harassment, or threats; malware or instructions for committing crimes; or content intended to manipulate, circumvent, or jailbreak our safety controls.

User responsibility. You are responsible for the prompts and inputs you submit, the rights and consents required for those inputs, how you use any outputs, and verifying the accuracy of outputs before relying on them. You confirm you have the necessary rights to any third-party data you submit.

Accuracy and disclosure. AI outputs may be inaccurate, incomplete, or out of date and are not a substitute for professional advice in any regulated field, including legal, financial, tax, real estate, or medical advice. Deepli labels AI-assisted content as such — including in dossiers, where any AI-generated section is identified to the reader. You agree not to remove, obscure, or alter these labels.

Moderation. We may refuse, filter, modify, or remove outputs, restrict access to AI features, and suspend or terminate accounts that violate this section, in each case at our reasonable discretion.

Rights-holder complaints. If you believe content generated or hosted on Deepli infringes your intellectual property rights, contact caroline@deepli-ai.com with a description of the work, the allegedly infringing material, your contact details, and a good-faith statement. We will review complaints promptly, remove or restrict access to material where appropriate, and terminate accounts engaged in repeated infringement.

8. Fees, billing, and subscriptions

Paid plans are offered on a subscription basis. Fees, billing frequency, trial periods, and applicable taxes are presented at checkout. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current paid period.

Payment processing, billing, tax calculation, invoicing, and refund handling are performed by our reseller Paddle (see Section 9). For the full commercial terms applicable to your purchase, see the Paddle Checkout Buyer Terms.

9. Reseller and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Refunds

Refund requests are handled under our Refund Policy and processed by Paddle. The current refund window is 14 days from the date of charge.

11. Service level

We work to keep the Service available and performing, but we do not guarantee uninterrupted, error-free, or uninterrupted-by-third-party-failure operation. We may suspend the Service for scheduled maintenance, security incidents, or factors outside our reasonable control.

12. Warranties

To the fullest extent permitted by Belgian law, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We make no warranty as to the accuracy or completeness of any intelligence output.

13. Limitation of liability

To the maximum extent permitted by Belgian law, Adrival Realty Consulting BV shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the fees you paid to us in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, death, personal injury, or any other liability that cannot be excluded under applicable law.

14. Indemnity

You agree to indemnify and hold harmless Adrival Realty Consulting BV from claims, damages, and reasonable expenses arising out of: your content or inputs; your use of the Service in violation of these Terms or applicable law; or your infringement of any third-party right.

15. Suspension and termination

We may suspend or terminate your access to the Service for: material breach of these Terms; non-payment; security or fraud risk; or repeated or serious violations of our policies. Where reasonable, we will provide notice and an opportunity to cure. On termination, your right to use the Service ends and we will make your data available for export for a reasonable period before deletion.

You may terminate your account at any time by cancelling your subscription and contacting us at caroline@deepli-ai.com.

16. Confidentiality and anonymization

Private client mandates and intent data are anonymized before any broker-facing disclosure. No identifying information is shared without explicit private client consent. Broker intelligence payloads are scrubbed of personally identifiable data. See our Privacy Policy for full details on data handling.

17. Governing law and jurisdiction

These Terms are governed by Belgian law. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Bruges, Belgium, subject to any mandatory consumer protection rights you may have in your country of residence.

18. Assignment and force majeure

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disasters, war, civil unrest, labour disputes, or infrastructure failures.

19. Modifications

We may modify these Terms from time to time. Material changes will be notified by email or in-product notice. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
